TERMS / BUSINESS SERVICES
Business Terms.
These terms apply to consulting, development and integration services supplied by MJW Consulting FZCO to business customers.
1. Scope
These terms apply where a proposal, statement of work or agreement refers to them. Customer terms apply only where MJW Consulting FZCO expressly accepts them in writing. Individually agreed terms take precedence.
2. Contract formation
Information on this website is non-binding. A contract is formed through acceptance of a proposal, a mutually signed agreement or written order confirmation. The applicable engagement defines scope, deliverables, timeline and fees.
3. Services
We perform our services with the professional care expected from a specialist consulting and technology company. Unless a specific outcome is expressly guaranteed, we owe professional performance rather than a guaranteed commercial or technical result.
We may use suitable tools, models, cloud services and qualified subcontractors where consistent with the engagement, agreed protection requirements and applicable law.
4. Customer cooperation
The customer provides required information, access, decisions, contacts and testing facilities on time. Missing or delayed cooperation may reasonably affect timelines and fees.
5. AI systems
Generative AI output may be incomplete or inaccurate. Production use, approvals, permissions and professionally or legally significant decisions are handled under the agreed control framework. The customer remains responsible for its business decisions and for providing data lawfully.
6. Fees
Prices, currency, payment schedule and reimbursable expenses are set out in the proposal. Unless stated otherwise, prices exclude applicable taxes and government charges. Invoices are due within the period stated in the proposal.
7. Changes
Changes to scope, acceptance criteria, timeline or technical assumptions are assessed jointly. Where they require additional effort, they become binding after the effects on fees and timing have been confirmed.
8. Intellectual property
Each party retains its pre-existing rights, methods, tools and know-how. Rights in deliverables created specifically for the customer are governed by the applicable agreement and transfer only after full payment to the extent stated there.
Open-source software and third-party materials remain subject to their respective licence terms.
9. Confidentiality & data
Each party protects information marked or reasonably understood as confidential and uses it only for the agreed purpose. Personal data is processed under applicable data protection law and, where appropriate, a separate data processing agreement.
10. Acceptance
Where acceptance is agreed, the customer reviews the deliverable within the agreed period against the defined criteria. Material deviations must be described clearly. Minor deviations do not prevent acceptance and are handled through the normal remediation process.
11. Liability
The parties are liable under applicable law and the limits agreed in the relevant contract. Nothing in these terms excludes liability that cannot lawfully be excluded or limited. Indirect loss, loss of profit and loss of data are excluded to the extent permitted by law unless the individual agreement provides otherwise.
12. Term & termination
The engagement governs its term and termination. Either party retains the right to terminate for material cause. Services performed and committed costs incurred before termination remain payable.
13. Force majeure
Neither party is liable for delays caused by events outside its reasonable control. The affected party informs the other and takes reasonable steps to mitigate the impact.
14. Law & jurisdiction
The laws of the United Arab Emirates apply unless mandatory rules require otherwise. The courts at the registered office of MJW Consulting FZCO have jurisdiction unless the individual agreement specifies a different forum or arbitration.
15. General
Changes and additions must follow the form stated in the engagement. If a provision is invalid, the remaining provisions continue in effect and the invalid provision is replaced by a lawful term that most closely reflects its commercial purpose.
Last updated: 17 September 2026. These terms become part of an agreement only where the relevant proposal or engagement expressly refers to them.
